He is on the second floor.
If you see the dying man you get the Butcher and if not you get Tainted Water which is a cave off floor 3 I belive.

The Butcher is more common though.

He's laying on the ground. After you talk to him your char yells "Your death will be avenged"

Now I wish I still had my Diablo disk

Anyways as far as I know the clan leaders each know their own clans password to give out whenever they want. If this isn't the case any clan leader can PM me and i'll give them the password or change it for them.
