Im lookin to upgrade my computer from a value budget, I will be getting a CPU, Mobo, Ram and maybe a hard drive.

So far I am thinking of getting a
    I5 760 Quad Core 2.8Ghz
    Gigabyte or MSI Mobo
    DDR3 4gb, 6gb or 8gb ram depending
    Maybe a Sata3 1TB HDD

    1) My concerns are with the USB 3 and Sata 3, does it make sense to go for these or just stick with SATA II since I already have the HDD and dont plan on getting an ssd just a hdd with sata3 on it?

    2) I currently do not have any USB 3.0 devices, but the Gigabyte has the USB3.0. SataIII and 3x usb power and on off charge feature on the following mobo I am considering.

I would go with MSI over Gigabyte any day.

If you don't plan on using any SATA III or USB 3.0, then there's no need on getting a motherboard that uses it; However, it's good to have these features for future proofing.

Also, you can plug in SATA II into SATA III ports and they'll still be read. So they're still compatible with each other, you just don't get any extra benefits from it.

Also note, the RAM that you posted isn't compatible with the motherboards you posted. The RAM the motherboards support are Dual-Channel and the RAM you posted are Triple-Channel, except for that 8GB kit.
